Abstract
U radu se analizira poslovna sposobnost odnosno poslovna nesposobnost. Kroz povijest, taj institut se dosta mijenjao. Poslovna sposobnost podrazumijeva mogućnost subjekata prava da vlastitim poduzetim radnjama u skladu sa svojom voljom steknu određena prava i obveze. Kao subjekti prava javljaju se fizičke i pravne osobe. Fizičke osobe postaju subjekti prava samom činjenicom svog rođenja, a pravne osobe to postaju u trenutku svoje registracije. Sve osobe nemaju jednaku poslovnu sposobnost, jer se ona očituje u poduzimanju pravnih radnji. Mnogi pravni poreci poslovnu sposobnost dijele na: potpunu poslovnu sposobnost, djelomičnu poslovnu sposobnost i poslovnu nesposobnost. Pravna osoba poslovnu sposobnost stječe danom nastanka, ako zakonom nije drukčije određeno. Pravna osoba ima samo potpunu poslovnu sposobnost koja joj se ne može ograničiti, niti ju se može uskratiti. Poslovna sposobnost je jedna od pretpostavki za sklapanje valjanih ugovora, a nedostatak iste može dovesti do ništetnosti i pobojnosti pravnih poslova. Za takve nevaljane pravne poslove predviđen je insitut konvalidacije i konverzije.
Abstract (english)
The paper analyzes legal capacity or legal incapacity. Throughout history, this facility changed a lot. Legal capacity implies the possibility for the subjects of the law to acquire certain rights and obligations in accordance with their own will by taking their own actions. As a legal entity, it appears natural and legal persons. Legal persons become entities right by the very fact of their birth, legal persons become at the time of their registration. Everyone does not have the same legal capacity as it is manifested in taking legal action. Many legal remedies divide the legal capacity into: full legal capacity, partial legal capacity and legal incapacity. A legal person acquires legal capacity at the date of its origin, unless otherwise provided by law. A legal person has only a complete business capacity that can not be restricted or denied. Legal capacity is one of the prerequisites for concluding valid contracts, and the lack of the same can lead to the nullity and affliction of legal affairs. For such irrefutable legal affairs, there is an in-depth validation and conversion process
